Hello Everyone! Recently, we met with a few attorneys with small practices, in their late 60’s with no plans of retirement, nor thoughts of business succession. That’s a concern we have for many business professionals today who know better to plan for events like this, yet they don’t. Over the years, we’ve seen many business professionals own and operate very successful practices/businesses, however we’re still surprised to see how many have not planned for their business succession.
If there is a younger family member coming into the practice or business, then that is a natural business succession, and the business owner has a whole lot less to concern themselves with. Conversely, if there is no family member or young associate interested in taking over the practice some day, then that leaves a potentially valuable asset foregone and left behind, and clients that will still need to be served.
So, what are the options…what are the steps? Depending on the scale of your practice, it could be rather simple and straight-forward. You just have to set aside some time for critical thought and meaningful discussion, and implement a plan of action. Although we (GMS Business Consulting) don’t perform business “valuations” (there are certified business appraisers available), nor do we involve ourselves directly in corporate finance transactions, however we do actively incorporate business succession planning in each of our client’s Business Plans. Here are three simple scenarios to consider:
- Succession w/a Family Member or Key Employee – If you have either a family member or a key employee coming into the practice who could potentially take over the practice upon your retirement or an unforeseen event, it is important to have discussions early.
- Initially, we would recommend a discussion with the family member/key employee to evaluate their long-term interests in the practice, and to establish and document timeline steps, requirements and conditions.
- Next, we would recommend that you enter into preliminary discussions with each of your key business advisers such as your CPA, Business Appraiser, and your Estate Planning Attorney to discuss, strategize, and plan the best succession options available to you.
- Then, schedule a meeting with all parties involved at one time, to best coordinate each others expertise in planning and executing structural details, timelines, and possible payment/financing options etc.
- Succession Plan w/No Successors – If you don’t have a family member or key employee to take-over your practice, then you should consider either merging/selling your practice into another complimentary practice in you local area.
- This should be planned well in advance of your projected retirement date so that you can better build, prepare and present your practice as attractive as possible to potential buyers. We would recommend planning and implementing this event in your Business Plan at least 5 years before your desired retirement date. This would allow you enough time to refine or re-define your business plan objectives, and allow you enough time to further build your practice clientele and revenue stream to make it attractive to other firms or buyers.
- Next, we would recommend that you enter into preliminary discussions with each of your key business advisers such as your CPA, Business Appraiser, GMS Business Consulting (for business strategy & business development), and your Estate Planning Attorney to discuss, strategize, and implement the best options available to you.
- Once, the business valuation, business strategy & business development, tax effects, and estate planning issues have been worked out, then your Action Plan can be implemented effectively and efficiently, and your progress can be measured (and adjusted if necessary) on a timely and accurate basis.
- No Succession Plan – If you don’t have a succession plan, then most likely, you could be leaving one of the most valuable assets you may have, off the table. After many years of working long hours and servicing clients, you will not only leave behind a potential nest-egg for you and your family, but you may also leave your clients in a less-served position than desirable. The cost of planning is minimal, but the cost of not planning is far higher.
Although we just touched on this subject, we hope this post will empower you with the desire to look at your own practice as an “asset”, and not merely as a business. As you plan and build your practice over the next year, make sure to take some time to consider your options for your practice succession.
